1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Wild Vision Ltd (Company No. 12941438), a company registered in England and Wales with its registered office at Enterprise House Ground Floor, 21 Oxford Road, Bournemouth, Dorset, United Kingdom, BH8 8EY ("Wild Vision," "we," "us," or "our"), governing your access to and use of the Wild Vision OS platform accessible at wildvision.one (the "Platform"), including all associated services, features, content, and applications.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.
If you are accessing the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.
2. Definitions
In these Terms, the following definitions apply:
"Content" means any text, images, video, audio, data, analytics, reports, or other materials uploaded to, generated by, or displayed on the Platform.
"Creator" means a content creator, influencer, or media personality who has entered into a Creator Agreement with Wild Vision and who accesses the Platform through the Creator Portal.
"Creator Agreement" means the individual agreement between Wild Vision and a Creator governing the terms of their business relationship, including content licensing, revenue sharing, and data handling.
"Creator Portal" means the section of the Platform accessible to Creators, providing analytics, revenue data, platform authentication, and communication tools.
"Team Member" means an employee, contractor, or authorised representative of Wild Vision who accesses the Platform's internal dashboard and management tools.
"Vendor" means a third-party vendor or partner who accesses the Platform through the Vendor Portal.
"Third-Party Platform" means any external service integrated with the Platform, including but not limited to YouTube, Facebook, Instagram, Snapchat, Spotify, TikTok, X (Twitter), Rumble, Microsoft Start, Yahoo, and connected television (CTV) platforms.
"Wild Vision Group" means Wild Vision Ltd together with its subsidiaries, affiliated companies, and authorised business partners. References to "Wild Vision," "we," "us," or "our" in these Terms include the Wild Vision Group unless the context requires otherwise.
3. Relationship to Individual Creator Agreements
These Terms establish the general conditions governing use of the Platform. Creators and partners who have entered into a Creator Agreement with Wild Vision are also subject to the terms of that agreement.
In the event of any conflict or inconsistency between these Terms and a Creator Agreement, the Creator Agreement shall prevail to the extent of the inconsistency. This includes, without limitation, provisions relating to revenue sharing, content licensing, exclusivity, termination, data handling, and confidentiality obligations.
Nothing in these Terms shall be construed to limit, modify, or waive any rights or obligations established under a Creator Agreement unless the Creator Agreement expressly states otherwise.
4. Eligibility and Account Registration
To access the Platform, you must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) and have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organisation, you must have the authority to bind that organisation.
Access to the Platform is by invitation only. Creators access the Platform through the Creator Portal using credentials provided by Wild Vision or through an invitation from their account manager. Team Members access the Platform through the internal dashboard using credentials managed by Wild Vision. Vendors access the Platform through the Vendor Portal using credentials provided by Wild Vision.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other breach of security. We reserve the right to suspend or terminate your account if we suspect unauthorised access or misuse.
5. Description of the Platform
Wild Vision OS is a comprehensive creator management and content syndication platform that provides the following services and features:
Analytics and reporting — aggregated performance analytics across multiple Third-Party Platforms, including views, engagement, audience demographics, and revenue metrics.
Revenue tracking and financial management — tools for tracking revenue across platforms, managing payments, generating financial reports, and facilitating tax compliance.
Content management and distribution — tools for managing, scheduling, and distributing content across multiple platforms, including connected television (CTV) networks.
Creator relationship management — tools for managing creator and partner relationships, including deal tracking, onboarding, performance monitoring, and communication.
Platform authentication — OAuth-based integrations that allow Creators and Team Members to connect Third-Party Platform accounts for data synchronisation.
Communication tools — integrated messaging and notification features, including Telegram bot integrations and email notifications.
The specific features available to you depend on your role (Creator, Team Member, or Vendor) and the terms of any applicable Creator Agreement.
6. Third-Party Platform Integrations
The Platform integrates with various Third-Party Platforms to provide its services. When you connect a Third-Party Platform account to the Platform, you acknowledge and agree that:
Your use of each Third-Party Platform is subject to that platform's own terms of service and privacy policy. In particular, by connecting a YouTube account, you agree to be bound by the YouTube Terms of Service. We encourage you to review the terms and privacy policies of all Third-Party Platforms you connect.
Wild Vision is not responsible for the availability, accuracy, or reliability of data provided by Third-Party Platforms. Changes to Third-Party Platform APIs, terms, or policies may affect the functionality of the Platform, and Wild Vision shall not be liable for any disruption caused by such changes.
You are responsible for ensuring that you have the necessary rights and authorisations to connect Third-Party Platform accounts. If you connect an account for which you are a manager rather than the owner, you represent that you have the authority to do so and that the account owner has consented to the connection.
You may disconnect any Third-Party Platform account at any time through the Platform's settings. You may also revoke access directly through the Third-Party Platform's security settings (for example, through Google's security settings for YouTube).
7. User Obligations and Acceptable Use
By using the Platform, you agree to the following obligations and restrictions:
Lawful use — you shall use the Platform only for lawful purposes and in accordance with these Terms, your Creator Agreement (if applicable), and all applicable laws and regulations.
Accurate information — you shall provide accurate, current, and complete information when using the Platform and shall promptly update such information as necessary.
Account security — you shall maintain the security of your account credentials and shall not share your login information with unauthorised individuals.
Prohibited conduct — you shall not: (a) attempt to gain unauthorised access to the Platform or any related systems or networks; (b) interfere with or disrupt the integrity or performance of the Platform; (c) use the Platform to transmit any malicious code, viruses, or harmful content; (d) reverse engineer, decompile, or disassemble any part of the Platform; (e) use the Platform to infringe upon the intellectual property rights of any third party; (f) use automated means (bots, scrapers, or similar tools) to access the Platform without our prior written consent; (g) use data obtained through the Platform for any purpose not authorised by these Terms or your Creator Agreement; or (h) sublicense, resell, or redistribute access to the Platform.
8. Intellectual Property
Platform ownership — the Platform, including its design, code, features, documentation, and all related intellectual property, is owned by Wild Vision Ltd and its licensors and is protected by copyright, trademark, and other intellectual property laws. Members of the Wild Vision Group may be licensed to use and operate elements of the Platform in connection with the services they provide. Nothing in these Terms grants you any right, title, or interest in the Platform except for the limited right to use it in accordance with these Terms.
Your content — you retain ownership of any content you upload to or create through the Platform, subject to the terms of your Creator Agreement. By uploading content to the Platform, you grant Wild Vision a non-exclusive, worldwide licence to use, store, display, and process that content solely for the purpose of providing the Platform services and fulfilling our obligations under your Creator Agreement.
Third-party content — content obtained from Third-Party Platforms through the Platform's integrations remains subject to the intellectual property rights of the respective content owners and the terms of the applicable Third-Party Platform.
Feedback — if you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us an unrestricted, irrevocable, perpetual, royalty-free licence to use such feedback for any purpose without obligation to you.
9. Confidentiality
You acknowledge that through your use of the Platform, you may have access to confidential information belonging to Wild Vision, other Creators, or other users. "Confidential Information" includes, without limitation, financial data, revenue figures, business strategies, creator rosters, deal terms, analytics data, and any information designated as confidential.
You agree to maintain the confidentiality of all Confidential Information and not to disclose, publish, or disseminate it to any third party without the prior written consent of Wild Vision. This obligation survives the termination of your account and these Terms.
Additional confidentiality obligations may be set out in your Creator Agreement, which shall apply in addition to the obligations in this section.
10. Financial Terms and Payments
Revenue tracking, payment terms, revenue splits, and all financial arrangements between Wild Vision and Creators are governed exclusively by the applicable Creator Agreement. These Terms do not establish any payment obligations or revenue-sharing arrangements.
The Platform provides financial data, analytics, and reporting tools for informational purposes. While we endeavour to ensure the accuracy of financial data displayed on the Platform, the authoritative source for payment calculations and obligations is the Creator Agreement and the records maintained by the applicable Third-Party Platforms and payment processors.
Wild Vision uses third-party payment processors (including Mercury and Wise) and accounting services (including Xero) to facilitate payments. Your use of these services is subject to their respective terms of service.
11. Data Protection and Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.
We comply with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), the UK General Data Protection Regulation (UK GDPR), the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and other applicable US state privacy laws.
Our use of data obtained through Google API Services, including the YouTube Data API and YouTube Analytics API, is subject to the Google API Services User Data Policy, including the Limited Use requirements.
12. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WILD VISION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
Wild Vision does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components; that any data provided through the Platform (including analytics, revenue figures, and performance metrics) will be completely accurate or up to date; or that the Platform will meet your specific requirements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WILD VISION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
To the extent that liability cannot be excluded under applicable law (including under consumer protection laws in the EEA, UK, or Australia), Wild Vision's total aggregate liability to you for all claims arising out of or in connection with these Terms or the Platform shall not exceed the greater of (a) the amounts paid by you to Wild Vision in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100).
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Wild Vision and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party rights; or (e) any content you upload to or transmit through the Platform.
This indemnification obligation shall survive the termination of your account and these Terms.
14. Termination
Termination by Wild Vision — we may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, breach of these Terms, violation of applicable laws, fraudulent or abusive conduct, or expiration or termination of your Creator Agreement.
Termination by you — you may request termination of your account at any time by contacting us at the details provided in Section 17. Termination of your Platform account does not automatically terminate your Creator Agreement; the terms of your Creator Agreement govern the termination of your business relationship with Wild Vision.
Effect of termination — upon termination, your right to access the Platform will cease immediately. We will retain your data in accordance with our Privacy Policy and any applicable legal requirements. Sections of these Terms that by their nature should survive termination (including Sections 8, 9, 12, 13, and 15) shall survive.
15. Dispute Resolution and Governing Law
Governing law — these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles, except where overridden by mandatory consumer protection laws in your jurisdiction of residence.
Dispute resolution — any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Class action waiver — to the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
EEA, UK, and Swiss residents — if you are a consumer resident in the EEA, UK, or Switzerland, nothing in this section shall deprive you of the protection afforded by the mandatory provisions of the consumer protection laws of your country of residence. You may bring proceedings in the courts of your country of residence, and the mandatory consumer protection laws of your country of residence shall apply.
16. General Provisions
Entire agreement — these Terms, together with the Privacy Policy and any applicable Creator Agreement, constitute the entire agreement between you and Wild Vision regarding your use of the Platform. In the event of conflict, the Creator Agreement prevails over these Terms, and these Terms prevail over the Privacy Policy (except with respect to data protection matters, where the Privacy Policy prevails).
Amendments — we reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where required by applicable law, provide you with notice of the changes. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.
Severability — if any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Waiver — the failure of Wild Vision to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment — you may not assign or transfer your rights or obligations under these Terms without our prior written consent. Wild Vision may assign its rights and obligations under these Terms without restriction.
Force majeure — Wild Vision shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, or Third-Party Platform outages.
Notices — notices to Wild Vision should be sent to the contact details in Section 17. Notices to you will be sent to the email address associated with your account or displayed within the Platform.
